Service Description

Introduction: This Tutoring Services Agreement ("Agreement") is entered into between Noctis CG Tutoring ("Noctis CG Tutoring"), and the individual or entity purchasing tutoring services through the Noctis CG Tutoring website ("Client/Student"), collectively referred to as the "Parties".

Purpose: The purpose of this Agreement is to establish the terms and conditions under which Noctis CG Tutoring will provide tutoring services to the Client/Student. By making a purchase of tutoring services through the Noctis CG Tutoring website, the Client/Student agrees to abide by the terms herein for the duration of the tutoring engagement.

Scope: This Agreement governs the provision of tutoring services by Noctis CG Tutoring to the Client/Student and outlines the rights, responsibilities, and obligations of both Parties throughout the tutoring relationship. The Agreement covers important aspects such as scheduling, payment terms, cancellation policies, responsibilities, and liability.

Effective Date: This Agreement shall become effective on the date of the purchase made by the Client/Student through the Noctis CG Tutoring website ("Effective Date").

Term: The term of this Agreement shall commence on the Effective Date and shall continue until terminated in accordance with the provisions herein.

Execution: By making a purchase of tutoring services through the Noctis CG Tutoring website, the Client/Student acknowledges that they have read and understood the terms of this Agreement and agree to be bound by its provisions.

Delivery of Tutoring Services: Tutoring sessions will be conducted remotely using video conferencing technology to provide a virtual learning experience for clients/students.

Video Meeting Programs: Tutoring sessions may be facilitated using video meeting programs such as Zoom, Skype, Google Meet, or other similar platforms. Clients/students will be notified in advance of the preferred video meeting program to be used for their sessions.

Technical Requirements: Clients/students are responsible for ensuring that they have access to a reliable internet connection and compatible devices (e.g., computer, tablet, smartphone) equipped with audio and video capabilities. Prior to scheduled sessions, clients/students may be required to download and install the necessary software or applications for accessing the designated video meeting program.

Session Logistics: Sessions will be scheduled in advance, and clients/students will receive meeting invitations or links via email or other communication channels. It is the responsibility of clients/students to log in to the designated video meeting program at the scheduled time and participate actively in the tutoring session.

Privacy and Security: Noctis CG Tutoring is committed to safeguarding the privacy and security of clients/students during video tutoring sessions. Video meeting programs utilized for tutoring purposes adhere to industry-standard encryption protocols and privacy policies.

Payment Terms

  1. Payment Methods: Clients/students may make payments for tutoring services using the following methods:
    • PayPal: Payments can be securely processed online using PayPal, a third-party payment gateway. Clients/students will be directed to the PayPal platform to complete the transaction.
    • Bank Transfer: Payments can also be made via bank transfer through the website's shop feature. Clients/students will be provided with the necessary bank account details to initiate the transfer.
  2. Currency: All payments shall be made in US Dollars (USD). Any currency conversion fees or charges incurred shall be the responsibility of the client/student.
  3. Advance Payment: All purchases for tutoring services are required to be made in advance. Clients/students must purchase a specified number of tutoring sessions before scheduling sessions.
  4. Payment Schedule: The payment schedule for tutoring services shall be determined based on the number of sessions purchased in advance. Clients/students are responsible for ensuring that payments are made for the desired number of tutoring sessions prior to scheduling sessions.
  5. Late Payments: Noctis CG Tutoring reserves the right to suspend or terminate tutoring services in the event of late or non-payment by the client/student. Late payments may result in the cancellation of scheduled tutoring sessions until payment is received.
  6. Payment Confirmation: Upon successful processing of payment via PayPal or bank transfer, clients/students will receive a payment confirmation email or notification from the website's shop feature and/or Noctis CG Tutoring email: [email protected]. It is the responsibility of the client/student to retain proof of payment for their records.
  7. Refunds: Refunds for prepaid tutoring sessions may be issued in accordance with the refund policy and cancellation policy outlined in this agreement. Refunds for payments made via PayPal or bank transfer will be processed using the original payment method, as applicable. All advanced payments are non-refundable.
  8. Disputes: Any disputes regarding payments should be reported to [email protected] for resolution. Noctis CG Tutoring will make reasonable efforts to address and resolve payment disputes in a timely and fair manner.

Refund Policy

  1. All Sales Final: All sales of tutoring services are final. Once a purchase is made, it is non-refundable, and no refunds will be provided except as outlined in this refund policy.
  2. Non-Refundable Advanced Payments: All payments made in advance for tutoring sessions are non-refundable. This includes payments made for prepaid tutoring packages or sessions.
  3. Refunds in the Form of Credits: In the event of exceptional circumstances, such as tutor unavailability or unforeseen scheduling conflicts, refunds may be provided in the form of credits to the client's account of hours. Credits will be applied to the client's account and can be used for future tutoring sessions within the validity period specified herein.
  4. Request for Refund: Clients may request a refund in the form of credits by contacting [email protected] and providing details of the circumstances warranting the refund request. Refund requests will be evaluated on a case-by-case basis, and decisions will be at the sole discretion of Noctis CG Tutoring.
  5. Validity Period of Credits: Credits issued for refunds will have a validity period specified at the time of issuance. It is the responsibility of the client to utilize the credits within this period, after which they will expire and become null and void.
  6. No Cash Refunds: Refunds will not be provided in cash or through original payment methods. Credits issued as refunds are non-transferable and can only be used for tutoring services provided by Noctis CG Tutoring.
  7. Exceptions: Exceptions to this refund policy may be made in extenuating circumstances, such as documented medical emergencies or other unforeseen events. Such exceptions will be considered on a case-by-case basis.
  8. Modification of Refund Policy: Noctis CG Tutoring reserves the right to modify or update this refund policy at any time without prior notice. Any changes will be effective immediately upon posting on the Noctis CG Tutoring website.

Cancellation Policy

  1. Notice Period: Clients/students are required to provide 24 hours advance notice for any cancellations or rescheduling of tutoring sessions. Notice of cancellation should be communicated directly to the tutor via phone call, email, text message.
  2. Late Cancellations: Cancellations made less than 24 hours before the scheduled tutoring session will be considered late cancellations. In the event of a late cancellation, the client/student may be charged a cancellation fee equivalent to 50% of the scheduled session value at regular pricing of the purchased package by Client/student.
  3. No-Shows: Failure to attend a scheduled tutoring session without prior notice (i.e., no-show) will be treated as a No-Show, and the client/student may be charged the full session value for the missed session at regular pricing of the purchased package by Client/student.
  4. Emergency Cancellations: In the case of unforeseen circumstances or emergencies that prevent a client/student from attending a scheduled tutoring session, the cancellation fee may be waived at the discretion of the tutor. Clients/students are encouraged to notify the tutor of any emergencies as soon as possible.
  5. Tutor Cancellations: In the rare event that the tutor needs to cancel a scheduled tutoring session due to unforeseen circumstances or emergencies, the client/student will not be charged for the canceled session. The tutor will make every effort to reschedule the session at a mutually convenient time. If the tutor fails to provide a notice 24 hours in advance, Client/student will be credited 1 additional session (at the specified value of time in the package purchased by Client/student) while also not being charged for the session cancelled. If the tutor fails to arrive to the session within 15 minutes of the start time and no notice is given to Client/student, Client/student will not be charged for the scheduled session and 2 additional sessions will be credited to Client/student account (at the specified value of time in the package purchased by Client/student).
  6. Repeated Cancellations: Clients/students who repeatedly cancel or reschedule tutoring sessions may be subject to additional restrictions or penalties, including but not limited to suspension or termination of tutoring services.
  7. Communication: Open and timely communication between the client/student and the tutor is essential in the event of cancellations or rescheduling of tutoring sessions. Clients/students are encouraged to communicate any scheduling conflicts or changes as soon as they arise to minimize disruptions to the tutoring schedule.
  8. Exceptions: Exceptions to the cancellation policy may be granted in extenuating circumstances, subject to review by Noctis CG Tutoring. Requests for exceptions should be submitted in writing to the tutor for consideration.
  9. Modification of Policy: Noctis CG Tutoring reserves the right to modify the cancellation policy with advance notice to clients/students. Any changes to the policy will be communicated in writing and will apply to future tutoring sessions.

Scheduling

  1. Scheduling Process: Clients/students can schedule tutoring sessions by contacting Noctis CG Tutoring via phone call or email. Our administrative staff or tutors will assist in coordinating session times based on availability.
  2. Availability: Tutoring sessions are available Monday through Friday, weekends, and evenings. Specific availability may vary depending on the tutor's schedule and existing commitments.
  3. Advance Scheduling: Clients/students are encouraged to schedule tutoring sessions in advance to secure their preferred time slots. While we strive to accommodate last-minute requests, availability may be limited, especially during peak times.
  4. Session Duration: Tutoring sessions typically last 50 minutes. Longer sessions may be arranged upon request and subject to availability.
  5. Frequency of Sessions: The frequency of tutoring sessions can be tailored to meet the individual needs and preferences of the client/student. Common options include:
    • Weekly sessions: Scheduled on the same day and time each week for consistency.
    • Bi-weekly sessions: Scheduled every other week for flexibility.
    • As-needed sessions: Scheduled on an ad-hoc basis to address specific academic challenges or prepare for exams.
  6. Rescheduling: Clients/students may request to reschedule tutoring sessions with advance notice, subject to availability. Requests for rescheduling should be made at least 24 hours prior to the scheduled session time.
  7. Confirmation: Upon scheduling a tutoring session, clients/students will receive a confirmation email or message confirming the date, time, and location (if applicable) of the session. It is the client's/student's responsibility to review the confirmation and notify Noctis CG Tutoring of any discrepancies or changes.

Responsibilities

  1. Responsibilities of the Tutor:
    • Provide high-quality tutoring services tailored to the individual learning needs and goals of the student.
    • Prepare lesson plans and instructional materials in advance of tutoring sessions.
    • Create a supportive and engaging learning environment that encourages active participation and fosters academic growth.
    • Assess student progress regularly and provide constructive feedback to facilitate improvement.
    • Maintain professionalism at all times, including punctuality, reliability, and confidentiality.
    • Communicate openly and transparently with clients/students and respond promptly to inquiries or concerns.
  2. Responsibilities of the Student/Client:
    • Attend scheduled tutoring sessions punctually and come prepared with any necessary materials or assignments.
    • Actively engage in the learning process by asking questions, participating in discussions, and completing assigned tasks.
    • Communicate any specific learning objectives, challenges, or preferences to the tutor to ensure sessions are tailored to individual needs.
    • Complete homework assignments and practice exercises outside of tutoring sessions to reinforce concepts learned during sessions.
    • Respect the tutor's time and expertise by adhering to agreed-upon session durations and cancellation policies.
    • Provide feedback to the tutor regarding the effectiveness of tutoring sessions and any areas for improvement.
  3. Parental/Guardian Responsibilities (if applicable):
    • Support and encourage the student's academic progress by providing a conducive learning environment at home.
    • Communicate with the tutor regularly to stay informed about the student's progress, challenges, and areas of improvement.
    • Reinforce the importance of punctuality, attendance, and active participation in tutoring sessions with the student.
    • Collaborate with the tutor to develop strategies for addressing any academic concerns or difficulties the student may be experiencing.
    • Stay informed about the tutoring schedule, session content, and any changes or updates communicated by the tutor or Noctis CG Tutoring.
  4. Shared Responsibilities:
    • Maintain open and respectful communication between the tutor, student/client, and, if applicable, parents/guardians to ensure alignment of goals and expectations.
    • Collaborate proactively to address any challenges or obstacles to the student's academic progress in a timely and effective manner.
    • Work together to create a positive and supportive learning environment that fosters academic success and personal growth.

Code of Conduct

  1. Respect and Professionalism:
    • Treat all individuals with respect, courtesy, and professionalism, regardless of their background, abilities, or beliefs.
    • Refrain from engaging in any form of discrimination, harassment, or disrespectful behavior towards others.
  2. Confidentiality:
    • Maintain strict confidentiality regarding all personal and academic information shared during tutoring sessions.
    • Respect the privacy of clients/students and refrain from disclosing any sensitive information without their explicit consent.
  3. Integrity and Honesty:
    • Conduct tutoring sessions with honesty, integrity, and transparency.
    • Refrain from providing false or misleading information to clients/students and uphold academic honesty and integrity at all times.
  4. Punctuality and Preparedness:
    • Arrive punctually for scheduled tutoring sessions and ensure that sessions start and end on time.
    • Come prepared with necessary materials, resources, and lesson plans to facilitate productive and engaging learning experiences.
  5. Professional Boundaries:
    • Maintain appropriate professional boundaries with clients/students and refrain from engaging in any behavior that could be perceived as inappropriate or unprofessional.
    • Avoid forming personal relationships with clients/students that may compromise the integrity of the tutoring relationship.
  6. Communication:
    • Foster open and transparent communication with clients/students, parents/guardians (if applicable), and colleagues.
    • Listen actively, respond thoughtfully, and address any questions, concerns, or feedback in a timely and respectful manner.
  7. Conflict Resolution:
    • Handle conflicts or disagreements with professionalism, diplomacy, and respect for all parties involved.
    • Seek mutually beneficial solutions through constructive dialogue and mediation, if necessary.
  8. Safety and Well-being:
    • Prioritize the safety, well-being, and welfare of clients/students at all times.
    • Create a safe and inclusive learning environment free from physical, emotional, or psychological harm.
  9. Continuous Professional Development:
    • Commit to ongoing professional development and lifelong learning to enhance teaching skills, subject knowledge, and tutoring effectiveness.
    • Stay informed about best practices, emerging trends, and advancements in the field of education and tutoring.
  10. Compliance with Policies and Regulations:
    • Adhere to all policies, procedures, and regulations established by Noctis CG Tutoring and relevant regulatory authorities.
    • Ensure compliance with legal and ethical standards governing tutoring services, including but not limited to privacy laws, copyright laws, and child protection laws.
  11. Representation of Noctis CG Tutoring
    • Represent Noctis CG Tutoring in a positive and professional manner at all times, both in-person and online.
    • Refrain from making any statements or commitments on behalf of Noctis CG Tutoring without proper authorization.
  12. Accountability:
    • Take responsibility for one's actions and decisions as a tutor and uphold the values and standards outlined in this code of conduct.
    • Accept constructive feedback and strive for continuous improvement in performance and professional conduct.

Intellectual Property

  1. Ownership: Any materials, including but not limited to lesson plans, worksheets, study guides, and instructional content, developed or provided by the tutor during tutoring sessions ("Materials"), shall remain the exclusive property of the tutor, unless otherwise agreed upon in writing.
  2. License to Use: The client/student is granted a non-exclusive, non-transferable license to use the Materials solely for personal educational purposes in connection with the tutoring services provided. This license does not grant the right to reproduce, distribute, modify, or publicly display the Materials without the express written consent of the tutor.
  3. Confidentiality: The tutor and the client/student agree to maintain the confidentiality of any proprietary or sensitive information exchanged during tutoring sessions, including but not limited to personal information, academic records, and tutoring methodologies.
  4. Prohibited Uses: The client/student agrees not to use the Materials for any commercial purposes or to infringe upon the intellectual property rights of the tutor or any third party. Unauthorized use of the Materials may result in legal action.
  5. Feedback and Suggestions: The client/student may provide feedback, suggestions, or ideas regarding the Materials or tutoring services. By doing so, the client/student grants the tutor a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, modify, adapt, reproduce, and distribute such feedback for any purpose.
  6. Third-Party Materials: The tutor may use third-party materials, such as textbooks, articles, or online resources, during tutoring sessions. Any third-party materials used remain the property of their respective owners, and their use is subject to the terms and conditions set forth by the owners.
  7. No Guarantees: The tutor makes no guarantees regarding the accuracy, completeness, or effectiveness of the Materials or tutoring services. The client/student acknowledges that academic success depends on various factors, including individual effort and external circumstances beyond the tutor's control.
  8. Indemnification: The client/student agrees to indemnify and hold harmless the tutor from any claims, damages, or liabilities arising from the client’s/student’s unauthorized use of the Materials or breach of this intellectual property section.

Communication

  1. Open Communication Channels:
    • Foster open and transparent communication between tutors, clients/students, parents/guardians (if applicable), and Noctis CG Tutoring
    • Encourage clients/students and their families to reach out with any questions, concerns, or feedback related to tutoring services.
  2. Preferred Communication Methods:
    • Clients/students can communicate with tutors and Noctis CG Tutoring through various channels, including:

      • Online Messaging Platform: Facebook messenger
    • Tutors may specify their preferred method of communication for scheduling, inquiries, or other matters.
  3. Response Times:
    • Tutors and administrative staff aim to respond to client/student inquiries and messages in a timely manner, typically within 24 hours.
    • Urgent inquiries or scheduling changes may receive priority attention, especially during regular business hours.
  4. Scheduling and Session Coordination:
    • Coordinate scheduling of tutoring sessions directly with the assigned tutor or through Noctis CG Tutoring's administrative staff.
    • Provide advance notice for any changes to scheduled sessions, including rescheduling requests or cancellations, to facilitate smooth coordination and minimize disruptions.
  5. Progress Updates and Feedback:
    • Tutors will provide regular progress updates and feedback to clients/students and their families on academic performance, learning objectives, and areas for improvement.
    • Clients/students are encouraged to communicate their progress, challenges, and goals with tutors to ensure tutoring sessions remain aligned with their needs.
  6. Confidentiality and Privacy:
    • Respect the privacy and confidentiality of all communications exchanged between tutors, clients/students, and Noctis CG Tutoring
    • Avoid sharing sensitive or personal information with third parties without proper authorization from the client/student.
  7. Professional Conduct:
    • Maintain professionalism and professionalism in all communications, including written and verbal interactions, emails, phone calls, and online messaging.
    • Use respectful and courteous language when communicating with clients/students and colleagues, refraining from language or behavior that may be perceived as offensive or disrespectful.
  8. Emergency Contact Information:
    • Provide emergency contact information to clients/students and their families in case of urgent situations or unforeseen circumstances during tutoring sessions.
    • Tutors and administrative staff may also provide emergency contact information for Noctis CG Tutoring in case of urgent inquiries or assistance needs.
  9. Feedback Mechanisms:
    • Encourage clients/students and their families to provide feedback on tutoring services, session experiences, and areas for improvement.
    • Regularly solicit feedback through surveys, evaluations, or informal conversations to assess client/student satisfaction and make necessary adjustments to improve service quality.

Feedback and Evaluation

  1. Importance of Feedback:
    • Noctis CG Tutoring values feedback from clients/students as an essential tool for improving the quality of tutoring services and meeting the unique needs of each individual.
    • Encouraging open and honest feedback fosters a collaborative learning environment where clients/students feel empowered to voice their opinions and contribute to their own academic success.
  2. Feedback Mechanisms:
    • Clients/students are invited to provide feedback on tutoring sessions, teaching methods, and overall experiences through various channels, including:
      • Anonymous Feedback Surveys: Periodic surveys may be distributed to gather feedback on specific aspects of tutoring services.
      • One-on-One Feedback Sessions: Clients/students can request individual feedback sessions with their tutor to discuss progress, challenges, and goals.
      • Online Feedback Forms: Secure online forms may be provided for clients/students to submit feedback at their convenience.
  3. Evaluation Criteria:
    • Feedback may be solicited on a range of criteria, including but not limited to:
      • Tutoring effectiveness: The clarity, relevance, and helpfulness of instructional materials and teaching methods.
      • Communication and interpersonal skills: The tutor's ability to communicate clearly, listen actively, and provide constructive feedback.
      • Session organization and structure: The pacing, organization, and engagement level of tutoring sessions.
      • Progress and goal attainment: The client/student's perceived progress towards academic goals and objectives.
  4. Confidentiality and Anonymity:
    • All feedback provided by clients/students will be treated with confidentiality and respect.
    • Anonymous feedback options are available to ensure clients/students feel comfortable expressing their opinions openly without fear of reprisal.
  5. Continuous Improvement:
    • Noctis CG Tutoring is committed to using feedback and evaluation data to drive continuous improvement and enhance the quality of tutoring services.
    • Feedback collected will be analyzed, and actionable insights will be incorporated into tutor training, curriculum development, and service delivery processes.
  6. Client/Student Satisfaction:
    • Client/student satisfaction is a top priority for Noctis CG Tutoring. Feedback will be used to gauge satisfaction levels and identify areas where improvements are needed to better meet client/student needs and expectations.
  7. Follow-Up and Action Plans:
    • Clients/students may receive follow-up communications from Noctis CG Tutoring or their tutor regarding specific feedback provided.
    • Action plans may be developed based on feedback to address identified areas for improvement and implement changes to enhance the overall tutoring experience.
  8. Ongoing Feedback Loop:
    • Feedback and evaluation processes are ongoing and iterative, with opportunities for clients/students to provide input throughout their tutoring journey.
    • Clients/students are encouraged to continue providing feedback as their needs and preferences evolve to ensure that tutoring services remain responsive and relevant.

Termination of Services

  1. Mutual Agreement:
    • Either party may terminate the tutoring services upon mutual agreement. Termination must be communicated in writing and signed by both parties to be considered valid.
  2. Notice Period:
    • Clients/students are required to provide two weeks advance notice in writing if they wish to terminate tutoring services.
    • Tutors are also required to provide 2 weeks advance notice in writing if they need to terminate tutoring services for any reason.
  3. Non-Compliance:
    • Noctis CG Tutoring reserves the right to terminate tutoring services immediately in the event of serious breaches of conduct or non-compliance with the terms and conditions outlined in this agreement. Such breaches may include, but are not limited to:
      • Failure to pay fees for tutoring services in a timely manner.
      • Violation of the code of conduct, including disrespectful behavior, harassment, or dishonesty.
      • Repeated cancellations or no-shows without prior notice.
      • Failure to adhere to scheduling policies or other agreed-upon terms.
    • Termination under this clause will be at the sole discretion of Noctis CG Tutoring and may be communicated verbally or in writing.
  4. Refund Policy:
    • In the event that tutoring services are terminated by either party as outlined in this section “Termination of Services”, any prepaid fees for unused sessions will be refunded to the client/student on a prorated basis.
    • Refunds will be processed within 30 days of termination and will be issued using the same payment method originally used for the transaction.
  5. Return of Materials:
    • Upon termination of tutoring services, clients/students are responsible for returning any materials, textbooks, or resources provided by the tutor or Noctis CG Tutoring
    • Clients/students may be held liable for any damages to or loss of materials beyond reasonable wear and tear.
  6. Effect of Termination:
    • Termination of tutoring services will result in the cessation of all future tutoring sessions, effective immediately upon the expiration of the notice period.
    • Clients/students will no longer be entitled to access tutoring services, resources, or benefits provided by Noctis CG Tutoring] following termination.
  7. Dispute Resolution:
    • In the event of a dispute arising from the termination of tutoring services, both parties agree to engage in good faith negotiations to resolve the matter amicably.
    • If necessary, disputes may be referred to mediation or arbitration in accordance with the governing law specified in the terms and conditions of this agreement.
  8. Survival of Terms:
    • Termination of tutoring services does not affect the validity or enforceability of any terms and conditions that are intended to survive termination, including but not limited to confidentiality, intellectual property, and liability provisions.

Liability

  1. Limitation of Liability:
    • Noctis CG Tutoring, its tutors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to the provision of tutoring services, including but not limited to:
      • Personal injury or property damage incurred during tutoring sessions or related activities.
      • Loss of income, profits, or opportunities resulting from the use or inability to use tutoring services.
      • Errors, omissions, or inaccuracies in instructional materials or information provided during tutoring sessions.
      • Any damages arising from the actions or omissions of clients/students, including but not limited to academic performance, grades, or test scores.
  2. Assumption of Risk:
    • Clients/students voluntarily assume all risks associated with the use of tutoring services, including but not limited to risks related to academic performance, learning outcomes, and the application of knowledge gained during tutoring sessions.
    • Noctis CG Tutoring and its tutors make no guarantees regarding the effectiveness, accuracy, or outcomes of tutoring services, and clients/students acknowledge and accept these risks.
  3. Indemnification:
    • Clients/students agree to indemnify and hold harmless Noctis CG Tutoring, its tutors, employees, and affiliates from and against any claims, damages, liabilities, losses, or expenses arising from or related to:
      • Any breach of the terms and conditions outlined in this agreement.
      • Any actions or omissions of clients/students, including but not limited to misconduct, negligence, or violation of the rights of third parties.
      • Any disputes, conflicts, or legal proceedings arising from the provision of tutoring services or the use of instructional materials.
  4. Limitation of Remedies:

  5. Governing Law:
    • This liability section shall be governed by and construed in accordance with the laws of Wasington State and the Federal government of the United States of America. Any disputes arising from or related to this section shall be subject to the exclusive jurisdiction of the courts in Washington State.
  6. Severability:
    • If any provision of this liability section is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

Jurisdiction: Any legal action or proceeding arising from or related to this agreement shall be brought exclusively in the state or federal courts located in Yakima Valley County Washington, United States. Clients/students and Noctis CG Tutoring hereby irrevocably consent to the jurisdiction and venue of such courts and waive any objections thereto.
  3. Nationwide Application: This governing law section applies to all clients/students, regardless of their location within the United States. Clients/students agree to submit to the jurisdiction of the courts specified herein and waive any objections to the application of Washington state law.
  4. Consistency with Federal Law: Nothing in this agreement shall be construed to limit any rights or remedies available to clients/students under federal law, including but not limited to the provisions of the Federal Arbitration Act.
  5. Severability: If any provision of this governing law section is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

Severability

  1. Invalidity of Provisions: If any provision of this agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.
  2. Modification of Invalid Provisions: The parties agree that any invalid, illegal, or unenforceable provision shall be modified or replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.
  3. Enforceability of Remaining Provisions: The invalidity, illegality, or unenforceability of any provision of this agreement shall not affect the enforceability of the remaining provisions, which shall continue to be binding and enforceable to the fullest extent permitted by law.
  4. Waiver of Invalidity: The failure of either party to enforce any provision of this agreement shall not be deemed a waiver of such provision or any other provision herein, nor shall it affect the right of the party to enforce such provision at a later time.
  5. Construction: In the event of a conflict between any provision of this agreement and applicable law, the parties agree that the provision shall be interpreted and enforced to the maximum extent permitted by law to achieve the intended purpose of the agreement.
